2) Voluntary winding up of Company after revival
Reference: Struck Off Companies
Dear Mam,
With reference to our conversation, please find below a detailed note on activation status of the Company on Ministry of Corporate Affairs (MCA) portal i.e. restoration of name of the company in the Register of Companies maintained by the Registrar of Companies:-
I) Procedure in Brief:
1. Preparation of documents such as Petition / Appeal, Affidavits, Declaration, Resolutions, Memorandum of Appearance and all other supporting documents with respect to activation of status of the Company;
2. Filing of Petition along with supporting documents referred in point no. 1 above and Demand Draft of prescribed amounts with the National Company Law Tribunal (NCLT) in accordance with the NCLT rules;
3. Submission of a set of whole Petition along with all documents with the concerned Registrar of Companies;
4. Representation to be made by the Company Secretary in Practice on behalf of Company on hearing dates at NCLT;
5. If the NCLT gets satisfied with representations, it may pass an order for restoration of name of the Company in Register of Company.
6. Filing of Order passed by the NCLT within 30 days in prescribed e-form.
7. The concerned ROC shall acknowledge Order of NCLT and take necessary action for restoration of name of the Company in Register of Company and issue fresh Certificate of Incorporation. Consequently, the status of the Company will be changed to “Active”.
8. To do closure of Company after revival
